Nusoko Fulfillment Service Terms

“Nusoko Fulfillment Units” refers to units fulfilled through Nusoko Fulfillment and sold on the Nusoko platform.

“Nusoko Excluded Product” denotes any product, as per the applicable Program Policies, that is prohibited or excluded from Nusoko Fulfillment.

“Foreign Address” is any mailing address outside the borders of Kenya.

“Fulfillment Request” is a request submitted to Nusoko, following standard submission methods, to fulfill one or more Multi-Channel Fulfillment Units.

“Multi-Channel Fulfillment Units” is defined in Section F-2.

“Sellable Unit” is a unit that meets the criteria for suitability.

“Seller Agreement” encompasses the Selling on Nusoko Service Terms, the Professional Seller Addendum, any successors, or similar agreements, enabling you to list and sell specific products and services on the Nusoko platform.

“Shipping Information” for any purchased unit(s) includes recipient name, shipping address, quantity of units, and any other shipping-related details reasonably requested.

“Site Fulfillment Centre(s)” are the designated centers used by Nusoko to store and fulfill units in connection with the Nusoko platform.

“Unit” signifies a unit of your product delivered to Nusoko for fulfillment within the Nusoko Fulfillment Program.

“Unsuitable Unit” is a unit that: (a) is defective, damaged, unfit for a particular purpose, or lacks required label(s); (b) has labels not properly registered with Nusoko before shipment or do not match the registered product; (c) is a Nusoko Excluded Product or does not comply with the Agreement (including applicable Service Terms and Program Policies); (d) is deemed unsellable or unfulfillable by Nusoko; or (e) is otherwise unsuitable, as determined by Nusoko.

Sponsored Ads Service Terms

Sponsored Ads, including Sponsored Products and Sponsored Brands (“Sponsored Ads”), is a service allowing you to advertise your products on the Nusoko platform. Your use of Sponsored Ads is governed by the Nusoko Advertising Agreement. By using Sponsored Ads, you accept the Nusoko Advertising Agreement with the applicable Nusoko Contracting Party (as defined in the Nusoko Advertising Agreement), subject to updates by Nusoko in accordance with its terms.

In case of any conflict between the General Terms or Program Policies and the Nusoko Advertising Agreement regarding Ad Services, the Nusoko Advertising Agreement will prevail to the extent of the conflict.

Selling Partner API Terms

API-1 Description of the Selling Partner APIs

The “Selling Partner APIs” enable your systems to interface with specific features or functionality provided by Nusoko. These Selling Partner API Terms apply exclusively to your use of the Selling Partner APIs. Under these terms, you may authorize Developers to access Confidential Information, customer personal data, and Your Materials via the Selling Partner APIs.

Nusoko provides Developers access to Confidential Information and, when necessary, customer personal data to facilitate better Service management and fulfillment by you. This access is granted on a discretionary basis, and Developers must comply with applicable law as your processors. You are liable for the acts or omissions of Developers as if they were your own. If you intend to use the Selling Partner APIs directly or develop software or a website interfacing with the APIs (an “Application”), you must register as a Developer.

We may provide Selling Partner APIs, including Marketplace Web Services APIs, and related software, data, content, and documentation, collectively referred to as “API Materials.” You can authorize Developers to access Confidential Information, customer personal data, and Your Materials via the Selling Partner APIs solely to support your business on Nusoko.

When Confidential Information and/or customer personal data is disclosed to Developers, they become your processors under applicable data protection law, and you remain liable for their acts or omissions. The terms and conditions governing the Selling Partner APIs and the API Materials in this Agreement are solely between you and Nusoko. API Materials that are public or open-source software (“Public Software”) may be provided to you under a separate license. All non-license provisions of this Agreement apply unless expressly prohibited by the license governing Public Software.

API-2 License and Related Requirements

API-2.1 Generally

During the Agreement term, we grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferable license. This license allows Developers to access and use Confidential Information and Your Materials through the Selling Partner APIs and API Materials, solely in support of your use of the Services covered by this Agreement. Nusoko or its licensors own all right, title, and interest in the Confidential Information, Selling Partner APIs, API Materials, Selling Partner API Specifications, and the Amazon Network.

API-2.2 License Restrictions

Developers authorized to access Confidential Information, customer personal data, and/or Your Materials through the Selling Partner APIs and API Materials are deemed your processors under applicable data protection law. You agree to grant Developers access only through APIs documented and communicated by Nusoko in accordance with any applicable Selling Partner API Specifications. You may not, and may not authorize any other party to: (a) reverse engineer, decompile, or disassemble the APIs and API Materials; (b) modify or create derivative works based upon them; (c) distribute copies of them; (d) remove proprietary notices or labels; (e) use any Public Software in a manner requiring disclosure, licensing, distribution, or availability; (f) resell, lease, rent, transfer, sublicense, or otherwise transfer rights to them; (g) access or use them to avoid applicable fees, exceed usage limits, or quotas; (h) access or use them unrelated to your use of Services; or (i) access or use them for fraudulent, illegal, or harmful activities. The data use limitations in Section 11 apply to information disclosed or received through the Selling Partner APIs.

API-2.3 No License for Direct Access

These Selling Partner API Terms do not grant you a license to directly access or use the Selling Partner APIs or install, copy, use, or distribute API Materials. Direct use of the Selling Partner APIs is only licensed to Developers.

API-2.4 Account Identifiers and Credentials

To provide access to your data via the Selling Partner APIs, use the account IDs and any unique public key/private key pair issued by Nusoko (“Account Identifiers and Credentials”). You may only authorize access as prescribed by Nusoko. Keep your Account Identifiers and Credentials secure and confidential for personal use. You are solely responsible for activities using your Account Identifiers and Credentials, whether by you, a third party, or your employees, contractors, or agents. Notify Nusoko immediately if unauthorized use is suspected or if your Account Identifiers and Credentials are lost or stolen. Nusoko is not responsible for unauthorized use of your Account Identifiers and Credentials.

API-2.5 Security of Your Materials and Confidential Information

Authorize others to access the Selling Partner APIs on your behalf and maintain security, protection, and backup of Confidential Information, customer personal data, and/or Your Materials. You are responsible for any loss or damage to such data and materials. Nusoko is not responsible for unauthorized access, alteration, deletion, destruction, damage, loss, or failure to store Confidential Information, customer personal data, or Your Materials

. If a personal data breach is reasonably believed to occur, notify Nusoko promptly for information purposes, and take actions as applicable under data protection law.

API-3 Termination

API-3.1 Termination of Your Access to the Selling Partner APIs and API Materials

Nusoko may limit, suspend, or terminate your access to the Selling Partner APIs and API Materials with 30 days’ notice for convenience. Immediate termination may occur if you materially breach the Agreement and fail to cure within 7 days, engage in deceptive, fraudulent, or illegal activity, or use the APIs and API Materials in a way that may harm Nusoko’s customers.

Upon suspension or termination, cease authorizing others to use the Selling Partner APIs and API Materials. Destroy all API Materials upon termination. Nusoko may cause your Account Identifiers and Credentials to cease recognition by the Nusoko Network for the purposes of the Selling Partner APIs and API Materials.

API-4 Modifications to the Selling Partner APIs and API Materials

Nusoko reserves the right to change or discontinue the Selling Partner APIs or API Materials, including altering or removing features, from time to time. Notice under Section 17 will be provided for material changes negatively affecting your business.
